GENERAL TERMS AND CONDITIONS OF SALE

  1. Identity of the Seller and Scope

These General Terms and Conditions of Sale (“Terms”) apply to sales of artworks and other products by Sophie Giet, registered with the Belgian Crossroads Bank for Enterprises (Banque-Carrefour des Entreprises / Kruispuntbank van Ondernemingen) under enterprise number 0598.664.006, with registered address at Impasse des Camus 57, 4000 Liège, Belgium.

These Terms apply subject to any mandatory legal provisions applicable to the Client. Where the Client is a consumer, nothing in these Terms limits or excludes rights that cannot lawfully be waived under Belgian or applicable European consumer law.

  1. Formation of the Contract

A sale is concluded when the Client accepts Sophie Giet’s offer or quotation in writing, places an order that is expressly accepted by Sophie Giet, or otherwise confirms the purchase in a manner agreed between the parties.

Before the contract is concluded, the Client must have had the opportunity to read and accept these Terms. Any specific terms stated in a quotation, order confirmation or written agreement prevail over these Terms in the event of inconsistency.

  1. Validity of Offers

Unless otherwise stated in writing, quotations and offers are valid for one month from their date of issue. Offers concerning existing artworks remain subject to availability until the order is confirmed.

  1. Orders and Deposits

Sophie Giet may decline an order before it has been accepted, in particular where an artwork is no longer available, where the requested commission cannot reasonably be carried out, or where there is a legitimate reason relating to the transaction.

For commissioned or made-to-order works, a deposit of 40% of the agreed price may be required before work begins. The quotation or order confirmation will specify the payment schedule and any particular conditions applicable to the commission.

The Client is responsible for providing accurate information necessary for the order, including name, billing and delivery details and, where relevant, the specifications agreed for a commissioned work.

  1. Prices and Payment

Prices are stated in euros and include VAT where applicable, unless expressly stated otherwise. Delivery, transport, insurance, customs duties, import taxes and similar charges are not included unless the offer or order confirmation states that they are included.

Payment shall be made by the method and within the period stated in the quotation, order confirmation or invoice. Where no specific payment term is stated, payment is due upon receipt of the invoice.

For consumer debts, any reminder fees, default interest and lump-sum compensation will only be charged in accordance with the mandatory provisions of Belgian law. In particular, where legally required, the first payment reminder is free of charge and the statutory waiting period must expire before default interest or compensation may be charged.

For Clients acting for professional purposes, late-payment interest and recovery compensation may be charged to the extent permitted by the applicable Belgian rules on late payment in commercial transactions.

  1. Delivery

Delivery times are estimates unless a delivery date has expressly been agreed as essential. Sophie Giet will inform the Client of any material delay.

Where the Client is a consumer and the goods are shipped by a carrier proposed or arranged by Sophie Giet, the risk of loss or damage remains with Sophie Giet until the Client, or a third party designated by the Client other than the carrier, takes physical possession of the goods, except where mandatory law provides otherwise.

Where the Client independently appoints a carrier not proposed by Sophie Giet, transfer of risk is governed by the applicable legal rules.

The Client is asked to inspect the packaging and the artwork promptly on delivery and to notify Sophie Giet as soon as reasonably possible of any visible transport damage, preferably with photographs. This practical notification request does not restrict a consumer’s statutory rights.

  1. Transport and Shipping Costs

Shipping, packing, insurance, customs clearance and other transport-related costs are borne by the Client where this is stated in the quotation, order confirmation or at checkout. Any customs duties, import VAT or taxes payable in the country of destination are the Client’s responsibility unless otherwise agreed in writing.

Sophie Giet will take reasonable care to ensure that artworks are appropriately packed for the agreed method of transport.

  1. Right of Withdrawal for Consumers

For distance contracts or contracts concluded off-premises, a consumer generally has a statutory right to withdraw from the contract within 14 calendar days without giving a reason, subject to the conditions and exceptions provided by law.

For the sale of an existing artwork or other non-personalised product at a distance, the withdrawal period generally begins on the day after the consumer, or a third party designated by the consumer other than the carrier, receives the goods. The consumer must notify Sophie Giet of the decision to withdraw within the statutory period by an unambiguous statement sent to sogie@skynet.be or by another legally permitted method.

Where the right of withdrawal applies, the consumer must return the goods in accordance with the statutory rules. Direct return costs may be borne by the consumer where permitted by law and where the consumer has been informed accordingly. Reimbursement will be made in accordance with the applicable statutory requirements.

The statutory right of withdrawal does not apply, among other legal exceptions, to goods made to the consumer’s specifications or clearly personalised. Accordingly, a commissioned artwork created to the Client’s individual specifications may fall within this exception. This does not affect the Client’s rights in the event of non-conformity or defective performance.

  1. Legal Guarantee and Conformity

Consumers benefit from the mandatory legal guarantee of conformity provided by Belgian law. For new consumer goods, this guarantee is in principle two years from delivery. These statutory rights apply irrespective of any additional commercial guarantee.

A consumer who discovers a lack of conformity should notify Sophie Giet within the period required by applicable law. The remedies available are those provided by the applicable legal guarantee regime and may include, depending on the circumstances, repair or replacement and, where the statutory conditions are met, an appropriate price reduction or termination of the contract.

Nothing in these Terms imposes a three-day forfeiture period for claims concerning conformity or defects and nothing excludes remedies that a consumer is entitled to under mandatory law.

  1. Handmade Nature of the Works

Sophie Giet’s works are made using artisanal ceramic processes. Variations in colour, surface, glaze, firing effects, dimensions and other characteristics may occur and form part of the handmade nature of the work. Such variations are not in themselves defects or lack of conformity where they are consistent with the description, photographs, samples, agreed specifications and characteristics that may reasonably be expected of the work.

This clause does not exclude liability for actual defects or lack of conformity under mandatory law.

  1. Retention of Title

To the extent permitted by applicable law, ownership of the goods remains with Sophie Giet until the agreed purchase price has been paid in full. This retention of title does not alter the mandatory rules governing transfer of risk to consumers.

  1. Intellectual Property

Unless expressly agreed otherwise in writing, the sale of a physical artwork transfers ownership of that physical object only. Copyright and other intellectual property rights in the artwork, its design and images of the artwork remain with Sophie Giet to the extent provided by law.

The Client may not reproduce, manufacture copies of, commercially exploit or authorise commercial reproductions of the artwork without Sophie Giet’s prior written permission, except where such use is permitted by law.

  1. Personal Data

Personal data are processed in accordance with applicable data-protection law, including the General Data Protection Regulation (GDPR), and with the Privacy Policy published on www.sophiegiet.be.

  1. Publicity and References

Sophie Giet may photograph and reproduce images of her artworks for artistic, documentary, archival, portfolio, publication and promotional purposes, subject to applicable law and any specific written agreement with the Client.

The Client’s name, logo or other identifying information will not be used as a public reference solely on the basis of these Terms where separate consent or another lawful basis is required.

  1. Subcontracting

Sophie Giet may use specialist subcontractors or service providers for parts of production, fabrication, firing, mounting, packing, transport or other technical services where appropriate. Sophie Giet remains responsible to the Client to the extent required by applicable law and by the contract.

  1. Force Majeure

Neither party is liable for a failure or delay caused by an event beyond its reasonable control where and to the extent recognised by applicable law. The affected party shall inform the other party within a reasonable time. Mandatory consumer rights remain unaffected.

  1. Applicable Law and Disputes

These Terms and the contract are governed by Belgian law, without depriving a consumer residing in another country of any mandatory protection granted by the law applicable under conflict-of-law rules.

The parties are encouraged to seek an amicable solution to any dispute. A consumer established or residing in circumstances covered by mandatory consumer-jurisdiction rules retains the right to bring proceedings before the courts competent under those rules.

For disputes with Clients acting exclusively for professional purposes, the courts of Liège, Belgium, shall have jurisdiction to the extent that such a jurisdiction clause is legally valid.

  1. Severability and Changes

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Sophie Giet may update these Terms for future transactions. The version applicable to an order is the version made available to the Client when the contract is concluded.
